1. Introduction

Important Legal Agreement

These AuctionAlgo Website Terms and Conditions of Use (together with the AuctionAlgo Privacy Policy and any Payment Terms & Conditions), along with any exhibits, addendums, proposals, order forms, service activation forms, price schedules, policies, or other supplemental documents incorporated herein by reference and published by AuctionAlgo from time to time, create a legally binding agreement (the "Agreement") between AuctionAlgo and its affiliates and subsidiaries (collectively, "AuctionAlgo") and the user of the Services and the Site (collectively, "you" or "your"), with respect to your use of the AuctionAlgo Services and the AuctionAlgo Site.

By using AuctionAlgo Services or accessing the AuctionAlgo website, you agree to all of the terms and conditions set forth in this Agreement.

You should carefully read this Agreement and the Privacy Policy before using AuctionAlgo Services or accessing the AuctionAlgo Site.

Any one of the following actions constitutes your acceptance of this Agreement:

Accepting the Terms electronically during registration or sign-up.
Logging into your account.
Using the Services provided by AuctionAlgo.

AuctionAlgo may change the terms of this Agreement from time to time. If changes occur, we will update the "Last Updated" date at the top of this Agreement. Continued use of the Services after such updates constitutes acceptance of the updated terms.

2. Definitions

"Auction House"

A seller, dealer, or organization that lists items such as collectibles, antiques, fine art, jewelry, vehicles, or other property on AuctionAlgo to conduct auctions.

"Buyer"

Any person, entity, or authorized representative (including you) who successfully bids on Property listed on the AuctionAlgo platform.

"AuctionAlgo Marks"

The AuctionAlgo trademarks, logos, domain names, and branding elements.

"AuctionAlgo Services" or "Services"

The online platform and technology provided by AuctionAlgo allowing Auction Houses to list items and Buyers to participate in auctions.

"AuctionAlgo Site" or "Site"

The website or platform operated by AuctionAlgo where auctions and bidding activities occur.

"Live Auction"

An auction where registered users may place bids online, either through absentee bids or real-time bidding.

"Property"

Any goods, services, or items listed for sale through the AuctionAlgo platform.

3. Access to the Services

Subject to compliance with this Agreement, AuctionAlgo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for personal or business use.

AuctionAlgo reserves the right to:

Modify or discontinue services at any time
Restrict access to the Site
Suspend or terminate accounts
Investigate misuse of the platform

You are responsible for maintaining the security of your account credentials and all activities conducted under your account.

4. Auction Eligibility

Each Auction House may define its own eligibility requirements.

You may be required to:

Register for an auction
Provide identity verification
Receive approval from the Auction House

Note: Approval for one auction does not guarantee approval for another.

5. Auction House Requirements

Auction Houses control:

Auction schedules
Item listings
Bid increments
Payment terms
Shipping policies
Conditions of sale

Important: AuctionAlgo does not control or guarantee the accuracy of Auction House listings.

The Auction House is responsible for resolving disputes related to:

Item authenticity
Returns
Refunds
Shipping

6. AuctionAlgo as a Technology Platform

AuctionAlgo is not an Auction House.

AuctionAlgo provides technology that connects buyers and sellers.

AuctionAlgo does not:

Own auction inventory
Conduct auctions directly
Guarantee buyer or seller performance

If disputes arise between Buyers and Auction Houses, AuctionAlgo is not responsible for resolving such disputes.

7. Compliance with Laws

Users agree to comply with all applicable laws regarding:

Sale and purchase of goods
Import/export regulations
Consumer protection laws
Intellectual property laws

Certain products (such as firearms, cultural artifacts, or regulated goods) may be subject to additional legal requirements. Users are responsible for complying with those laws.

8. Acceptable Use

When using AuctionAlgo, you agree NOT to:

Violate laws or regulations
Post misleading or fraudulent listings
Manipulate auction prices
Interfere with other users
Distribute spam
Upload viruses or harmful software
Copy or scrape website data
Use bots or automated scraping tools
Harvest user information without consent

Violation may result in account suspension or termination.

9. Fees and Payments

Auction Houses may charge fees including:

Buyer's premiums
Shipping charges
Handling fees
Taxes

All fees are determined by the Auction House and disclosed in the listing.

AuctionAlgo may support payments via:

Credit or debit cards
Bank transfers
Third-party payment processors

Users authorize AuctionAlgo to process payments for services and fees where applicable.

11. Privacy

AuctionAlgo respects user privacy.

Any personal data collected is handled according to the AuctionAlgo Privacy Policy.

By using the Site, you consent to:

Data collection
Identity verification
Fraud detection

12. Confidential Information

Confidential information includes proprietary information disclosed by AuctionAlgo.

Users agree not to disclose or misuse such confidential information.

13. Intellectual Property

All content on the AuctionAlgo platform including:

Logos
Graphics
Software
Text
Design
Trademarks

is owned by AuctionAlgo or its licensors.

Important: Users may not copy, modify, or redistribute platform content without permission.

14. Indemnification

You agree to defend and indemnify AuctionAlgo from any claims, damages, or legal costs arising from:

Your use of the platform
Violation of these Terms
Disputes with Auction Houses
Unlawful activity

15. Disclaimer of Warranties

The AuctionAlgo platform is provided "AS IS" and "AS AVAILABLE."

AuctionAlgo makes no guarantees regarding:

Uninterrupted service
Accuracy of listings
Reliability of auctions

Use of the platform is at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law, AuctionAlgo shall not be liable for:

Indirect damages
Lost profits
Business interruptions
Data loss

Total liability shall not exceed the amount paid by you to AuctionAlgo within the last three months, or $100, whichever is greater.

17. Notices

Notices to AuctionAlgo may be sent via email or official company address provided on the website.

AuctionAlgo may notify users through:

Email
Website notifications
Account messages

18. Force Majeure

AuctionAlgo shall not be liable for service disruptions caused by events beyond its control including:

Natural disasters
War
Government actions
Power outages
Pandemics
Internet failures

19. Dispute Resolution

If disputes arise related to these Terms, the parties will first attempt to resolve the dispute through negotiation.

If unresolved, disputes may be resolved through arbitration or a competent court depending on jurisdiction.

20. Individual Disputes Only

Disputes must be handled on an individual basis only. Class action lawsuits are not permitted unless required by law.

21. General Terms

These Terms constitute the entire agreement between you and AuctionAlgo.

If any provision is found invalid, the remaining provisions remain in effect.

These Terms are governed by applicable laws of the jurisdiction where AuctionAlgo operates.

22. Amendments

AuctionAlgo may update these Terms at any time.

Continued use of the Services after updates constitutes acceptance of the new Terms.

If you do not agree with the updated Terms, you must discontinue use of the Services.
